Service provider
Transfer Runner Ltd (registered in England and Wales under company number 17488928), 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom, [email protected] ("TransferRunner")
Subscriber
("Company")

1. Subject and acceptance

This agreement sets out the terms on which TransferRunner provides its transfer management software to the Company: the management panel, the Company's branded booking site, the driver app, notifications and related services (together, the "Service"). The Company accepts this agreement electronically by ticking "I have read and accept" on the sign-up screen or in the panel. The person who accepts confirms that they are authorised to act for the Company.

2. Business use only

The Service is offered only to businesses for their trade or profession. By accepting this agreement the Company confirms that it is not acting as a consumer. Rules that protect consumers only, including statutory rights of withdrawal, therefore do not apply.

3. The Service

  • The panel in which the Company manages its vehicles, drivers, prices and bookings.
  • A booking site published under the Company's name and design choices. The privacy, cookie and booking terms shown to guests on that site are filled in with the details the Company enters in the panel.
  • The driver app, email, SMS and WhatsApp notifications to guests, flight tracking and the other features included in the Company's plan.
  • The features and limits of each plan are shown at https://transferrunner.com/pricing/ and in the panel under "Plan and billing". TransferRunner may improve and change the Service. If it removes a core feature of the Company's plan, it gives at least 30 days' notice.
  • Some features rely on third-party services, for example Meta WhatsApp Business, Google Maps, flight data, email and SMS providers. TransferRunner is not responsible for changes, limits or outages of those services and will make reasonable efforts to replace them or work around them.

4. Plans, fees and billing

  • The Company chooses a plan (Starter, Growth, Pro Fleet or Enterprise) and a billing period. Starter is billed monthly only. The other plans can be billed monthly or yearly; a yearly subscription costs the price of 10 months for 12 months.
  • Fees are charged in advance at the start of each billing period through TransferRunner's payment provider (Stripe), using the payment card the Company saves in the panel. The subscription renews automatically at the end of each period until it is cancelled.
  • A plan may be offered at an introductory price until a stated date. The introductory price, its end date and the price that applies afterwards are shown at https://transferrunner.com/pricing/ and in the panel. From the end date the regular price applies automatically.
  • Enterprise and some add-ons carry a one-time setup fee. It is charged once and is not refundable once the setup work has started.
  • Prices are in US dollars and exclude VAT and other taxes. Where VAT is due it is added to the invoice; where the reverse-charge rule applies, the Company accounts for the VAT itself. The Company keeps its billing and tax details correct.
  • An upgrade takes effect at once and the difference for the rest of the current period is charged pro rata. A downgrade takes effect at once and the difference is credited against the next payment, unless the panel says otherwise. Before a downgrade the Company may need to bring its users and vehicles within the limits of the new plan.
  • If a payment fails, the Company is told in the panel and by email and the payment is tried again. If it is still unpaid 14 days after the due date, TransferRunner may close the Company's booking site to guests and limit the panel until payment is made. Everything is restored once the payment goes through.
  • TransferRunner may change its prices with at least 30 days' notice. New prices apply from the first billing period that starts after the notice period, and the Company may cancel before then.
  • TransferRunner does not collect money from guests on the Company's behalf. Card payments from guests go to the Company's own payment provider account (for example Stripe or iyzico). The Company is responsible for refunds to its guests and for its relationship with that provider.

5. Cancellation and refunds

  • The Company can cancel its subscription at any time in the panel under "Plan and billing". The cancellation takes effect at the end of the billing period already paid, and the Service stays available until then.
  • For example, if a monthly period is paid on 27 October and the Company cancels on 5 November, the Service stays available until 26 November, no further payment is taken, and no refund is made for the days in between.
  • Fees already paid are not refunded, including for unused days or months or the rest of a yearly period, except as set out in this section or where the law requires a refund.
  • If TransferRunner ends this agreement although the Company is not in breach, or the Company ends it because it does not accept a material change under section 16 or a new sub-processor under the Data Processing Agreement, TransferRunner refunds the prepaid fees for the unused part of the period pro rata.
  • Charges made in error, such as a double charge, are refunded in full. Refund requests are sent to [email protected].

6. The Company's obligations

  • To hold every permit, licence and insurance needed to provide transfer services (for example a private hire operator licence in the United Kingdom, or an authorisation certificate and tourism certificate in Türkiye) and to make sure its vehicles and drivers comply with the law.
  • The Company is the party to the transport contract with the guest. Prices, taxes, invoices, refunds, complaints and the transfer itself are the Company's responsibility.
  • To keep the details it enters in the panel accurate and up to date, in particular the legal name, address, tax or company number and contact details under "Company details and legal texts". The legal texts on the booking site are templates; the Company checks that they suit its business and adds to them where needed.
  • To protect user accounts and passwords and give access only to the people who need it.
  • Not to use the Service unlawfully, misleadingly or in a way that infringes the rights of others, and not to send unsolicited bulk messages. Messages sent by WhatsApp or SMS must follow the rules of those channels.

7. Personal data

For the personal data of guests, drivers and Company staff processed in the Service, the Company is the controller and TransferRunner is the processor. The Data Processing Agreement between the parties forms part of this agreement. For the account and billing details of panel users, TransferRunner is the controller and processes them under the privacy policy at https://transferrunner.com/legal/privacy/.

8. Availability and support

TransferRunner takes reasonable care to run the Service without interruption and securely, and backs up data regularly. Planned maintenance is announced in advance where possible and is carried out outside busy hours. TransferRunner is not responsible for interruptions caused by internet infrastructure, third-party services or events outside its control. Support is provided at [email protected] and through the support section of the panel.

9. Confidentiality

Each party keeps confidential the non-public information it receives from the other in connection with this agreement and uses it only to perform this agreement. This does not apply to information that is public, that the receiving party already held lawfully, or that must be disclosed by law. This duty continues for three years after the agreement ends.

10. Intellectual property

The software, its design and all rights in them belong to TransferRunner. The Company receives a non-exclusive, non-transferable right to use the Service for its own business while the subscription lasts. The data, logo and content the Company enters belong to the Company; it allows TransferRunner to host and use them only to provide the Service. On plans that do not include removing it, a small "TransferRunner" notice appears at the bottom of the booking site, and the Company does not remove or hide it. TransferRunner may use suggestions the Company makes to improve the Service.

11. Warranties

TransferRunner provides the Service with reasonable skill and care. Apart from that and from what this agreement states expressly, the Service is provided as it is and as available, and TransferRunner gives no other warranty, for example that the Service will be uninterrupted, free of errors or suitable for a particular purpose, to the extent the law allows.

12. Limitation of liability

TransferRunner's total liability under or in connection with this agreement is limited to the subscription fees the Company paid in the 12 months before the event that caused the claim. TransferRunner is not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data. Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited by law.

13. Indemnity

The Company is responsible for, and covers TransferRunner against, claims by guests, drivers, authorities or other third parties arising from the transfer services the Company provides, from the content and data it enters, or from its use of the Service in breach of this agreement or the law.

14. Term, suspension and termination

  • This agreement runs from acceptance until it is ended. The Company can end it by cancelling its subscription under section 5.
  • Either party may end the agreement if the other commits a material breach and does not remedy it within 14 days of written notice.
  • TransferRunner may suspend an account at once if there is unlawful use, a security threat or a risk of harm to guests, and tells the Company the reason. TransferRunner may also end the agreement with 30 days' notice without giving a reason; section 5 then applies to prepaid fees.

15. Data after the agreement ends

For 30 days after the agreement ends, the Company can export its data from the panel. After that the data is deleted within the periods set out in the Data Processing Agreement, except data that must be kept by law.

16. Changes to this agreement

TransferRunner may change this agreement. Changes are published in the panel with a new version number and the Company is told about them; material changes are announced at least 30 days in advance. The Company accepts the new version in the panel. If it does not accept a material change, it may end its subscription before the change takes effect, and section 5 applies.

17. Events outside a party's control

Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as natural disasters, war, epidemics, actions of authorities, power or internet failures, or failures of third-party providers. The obligation to pay fees already due is not affected.

18. Notices and evidence

Notices are given through the panel and by email to the Company's registered email address, and to TransferRunner at [email protected]. TransferRunner's system records of the acceptance (date, IP address and the version accepted) serve as evidence that this agreement was accepted; the Company may prove otherwise.

19. General

  • TransferRunner may transfer this agreement to a company in its group or to a buyer or successor of its business, and tells the Company when it does so. The Company may transfer it only with TransferRunner's written consent.
  • This agreement, the Data Processing Agreement and the plan details shown at the time of purchase are the whole agreement between the parties on this subject.
  • If a provision is found invalid, the rest of the agreement remains in force. Not enforcing a right does not mean giving it up.
  • No one other than the parties has rights under this agreement, and the Contracts (Rights of Third Parties) Act 1999 does not apply.

20. Language

This agreement is made in English. Translations are provided for convenience. If a translation differs from the English text, the English text prevails.

21. Governing law and jurisdiction

This agreement is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction over disputes. Mandatory rules that cannot be waived in the Company's own country, such as the Turkish Personal Data Protection Law for companies in Türkiye, remain unaffected. The parties first try in good faith to settle any dispute in writing.
